1. Introduction
These Terms & Conditions (“Terms”) govern all services and products provided by AwT Labs, an integral part and the full development wing of Animweb Technologies (“Animweb”, “AwT Labs”, “we”, “us”), to any client (“Client”, “you”). By accepting a quotation, making a payment or using our services, you agree to these Terms.
Where a signed proposal or agreement exists, it forms part of these Terms. In case of conflict, the signed agreement prevails for that project.
2. Scope of Services
AwT Labs provides website development, web and mobile application development, e-commerce, platform-based website setup, UI/UX design, hosting and deployment, maintenance, upgrades, integrations, security services and SaaS products.
The scope of each project is defined in the written quotation or proposal. Any feature, page, module or change not included in the agreed scope is treated as additional work and quoted separately.
3. Consultancy & Media Services
AwT Labs handles development work only. All consultancy work is handled exclusively by AwT Consultancy, and all media work is handled exclusively by AwT Media. Engagements with those divisions are governed by their own terms.
4. Quotations, Pricing & Payment
- Starting prices: portfolio websites from ₹25,000 + GST; business websites from ₹30,000 + GST; custom software for companies from a minimum of ₹50,000 + GST; e-commerce websites from ₹80,000 + GST. Mobile applications are quoted on requirements. Prices in every category increase depending on the Client’s requirements.
- All prices are exclusive of GST, which is charged as applicable.
- Final pricing depends on the Client’s requirements and is confirmed in a written quotation.
- Quotations are valid for 15 days from the date of issue unless stated otherwise.
- Payments are made in milestones as stated in the quotation. Work begins after receipt of the advance payment.
- Domain costs and all other additional costs — hosting, premium themes, plugins, platform subscriptions, paid APIs and SMS/email services — are excluded from all prices and billed separately.
- Delivery, deployment and handover take place only after all due payments are cleared. Animweb may suspend work or services for overdue payments.
5. Client Responsibilities
- Provide accurate requirements, content, images, logos and approvals on time. Delays in providing material extend the delivery timeline accordingly.
- Ensure that all material provided is owned by the Client or properly licensed, and does not infringe any third-party rights or applicable law.
- Review and approve designs and deliverables within the agreed review period.
- Keep login credentials shared with the Client secure and notify us of any suspected misuse.
6. Intellectual Property & Source Code Ownership
Source code belongs to Animweb Technologies. The complete source code, architecture, frameworks, components, reusable modules, internal tools, libraries and configuration developed or used by AwT Labs are and remain the exclusive intellectual property of Animweb Technologies. The Client receives a licence to use the delivered website or application for its intended purpose while services remain active and all payments are cleared.
What the Client owns:
- All material provided by the Client for the website — including text, images, videos, logos, trademarks and brand assets.
- The domain name registered in the Client’s name or for the Client.
- The Client’s database and the business data stored in it.
The source code is not sold, transferred or handed over to the Client unless Animweb Technologies expressly agrees otherwise in a separate signed written agreement.
7. Website Shutdown & Termination
- Either party may terminate services with written notice. Fees for work completed up to the date of termination remain payable.
- If a website or application is shut down for any reason — including termination, non-renewal, non-payment or the Client’s decision to discontinue — the source code will not be provided to the Client, as it is the property of Animweb Technologies.
- The Client retains its domain name, its provided material and its data, subject to the data request process below.
- Animweb Technologies may suspend or shut down services that are used for unlawful purposes, that violate these Terms, or that have overdue payments.
8. Data Requests & Export
- Clients requiring a copy or export of their data must submit a written request at least 30 days in advance to animwebtechnologies@gmail.com.
- Data is provided in a standard, commonly used format (such as CSV, SQL or JSON) as reasonably determined by AwT Labs.
- Data export covers the Client’s database and material provided by the Client, not the source code.
- Data export requests are processed only after all outstanding dues are cleared. Large or complex exports may attract reasonable charges, communicated in advance.
- After shutdown, Client data may be permanently deleted from our systems once the 30-day notice period has passed without a request, in line with our Privacy Policy.
9. Warranty, Guarantee & Free Upgrades
- Fully custom-coded websites and applications carry a 2-month warranty and guarantee from the date the website is coded and deployed live.
- The warranty covers defects and malfunctions in code delivered by AwT Labs that prevent the website from working as agreed at handover.
- Fully custom-coded projects include 3 months of free upgrades from the date of deployment. Free upgrades cover improvements to the existing delivered website — content updates, design refinements, minor enhancements and library or security updates. New modules or features outside the original scope are quoted separately.
- After the free period, maintenance and upgrades are chargeable and provided only if the Client requests them. Maintenance is charged at ₹10,000 + GST per month or ₹90,000 + GST per year. Upgrades are charged from ₹1,000 + GST per upgrade, increasing with the size and complexity of the upgrade.
- The warranty does not cover changes made by the Client or third parties, third-party service outages, hosting provider issues, misuse, or new requirements.
10. Platform-Based (Prebuilt) Websites
Websites built on Shopify, GoDaddy Website Builder, WordPress themes, Wix or any similar prebuilt platform are provided without any warranty or guarantee and without a free upgrade period. These platforms, their themes, apps and plugins are controlled by third parties, and their terms, pricing and availability apply. Support and changes for such websites are chargeable on request.
11. SaaS Products
Our SaaS products, including the Attendance ERP System and the Online Exam Portal, are licensed on a subscription basis. The software and its source code remain the property of Animweb Technologies. Data entered by the subscribing organisation remains its own and may be exported under the Data Requests section above. Subscription fees, plan limits and renewal terms are as stated in the applicable quotation or order.
12. Hosting, Domain & Third-Party Services
- Domains registered for the Client belong to the Client. Renewal of domains, hosting and third-party services is the Client’s responsibility unless managed by us under a paid plan.
- We are not liable for downtime, data loss or changes caused by third-party providers, platforms or APIs.
- Hosting managed by Animweb may be suspended if renewal charges remain unpaid.
13. Confidentiality
Both parties agree to keep confidential any non-public business, technical or financial information received from the other party, and to use it only for the purpose of the engagement. This obligation continues after the end of the engagement.
14. Portfolio Rights
Unless the Client requests otherwise in writing, Animweb Technologies may display the completed project’s name, screenshots and a general description in its portfolio and marketing material. No confidential information is disclosed.
15. Limitation of Liability
To the maximum extent permitted by law, the total liability of Animweb Technologies for any claim arising from a project is limited to the amount paid by the Client for that project. Animweb Technologies is not liable for indirect, incidental or consequential losses, including loss of profits, revenue, business or data, arising from the use of or inability to use any website, application or service.
16. Website Security & Acceptable Use
Users of this website must not attempt to copy, scrape, reverse-engineer, probe, disrupt or gain unauthorised access to this website or any system of Animweb Technologies. All content, design and code on this website are the property of Animweb Technologies and may not be reproduced without written permission.
17. Changes to These Terms
We may update these Terms from time to time. The updated version will be published on this page with a revised date. Continued use of our services after changes constitutes acceptance of the updated Terms. Projects already under a signed agreement continue under the terms agreed at the time of signing.
18. Governing Law & Disputes
These Terms are governed by the laws of India. The parties will first attempt to resolve any dispute amicably through discussion. Unresolved disputes are subject to the exclusive jurisdiction of the competent courts at the location of the registered office of Animweb Technologies.
